NAICS code for a private equity firm, fund and holding company

Private equity isn't one entity, so it isn't one code. The manager, the fund and the holding company each have their own NAICS code, and the companies a fund owns keep theirs.

Industry code6 min readPublished

The NAICS code for a private equity firm is 523940, Portfolio Management and Investment Advice; the Census index lists "private equity fund managing" there. The fund itself, as a pooled legal entity, fits 525990, Other Financial Vehicles, which covers closed-end funds, and a holding company that only owns portfolio companies is 551112. Venture capital companies investing their own money are 523910. The SIC codes are 6282, Investment Advice, and 6799, Investors, NEC.

  • The manager (the PE firm) is 523940; the fund is 525990; a pure holding company is 551112.
  • Portfolio companies keep the code of their own business, whoever owns them.
  • On a partnership return, the IRS codes are 523900 for the manager and 525990 for the fund.
  • County Business Patterns counted 67,802 portfolio management and investment advice establishments in 2023, paying about $259,000 per employee.
  • Blackstone, KKR, Apollo, Carlyle, TPG and Ares all file on EDGAR under SIC 6282, Investment Advice.
On this page

This page is for private equity and venture firms filling in forms that ask for an industry code (bank onboarding, a vendor or data room provider, a tax return, SAM.gov for a portfolio company) and for sellers building lists of PE firms. It sets out which code fits each entity in a typical fund structure.

The NAICS codes for private equity

NAICS 2022 codeOfficial titleWhich entity it fits
523940Portfolio Management and Investment AdviceThe private equity firm or management company: it manages the portfolio assets (funds) of others for fees based on size or performance, with authority to make investment decisions. The Census index lists private equity fund managing, managing investment funds and portfolio fund managing here.
525990Other Financial VehiclesThe fund as a legal entity: funds other than insurance, employee benefit and open-end funds, including closed-end investment funds and special purpose financial vehicles.
551112Offices of Other Holding CompaniesA holding company that holds controlling stakes in companies without administering or managing them.
523910Miscellaneous IntermediationInvestors acting as principals for their own account; the Census examples include venture capital companies and investment clubs.

523940 is new in NAICS 2022: it merges the 2017 codes 523920, Portfolio Management, and 523930, Investment Advice. Older forms and data may still show 523920 for PE firms.

How to choose: one code per entity

A typical buyout structure has a management company, a general partner, one or more fund partnerships, acquisition holding companies and the portfolio companies. Code each by what it does:

EntityNAICS 2022SIC 1987
Management company that runs the funds for fees and carried interest5239406282 Investment Advice, or 6799 Investors, NEC
Fund limited partnership that pools investors' capital525990 (closed-end fund; our reading for a typical PE fund)6726 Closed-End Management Investment Offices
Acquisition or holding company that only owns a portfolio company's shares5511126719 Offices of Holding Companies, NEC
Holding company that also manages its subsidiaries centrally551114, Corporate, Subsidiary, and Regional Managing OfficesNo direct SIC equivalent
Portfolio companyThe code for its own business, such as 238220 for an HVAC contractorIts own SIC
Venture capital company investing its own balance sheet5239106799
Hedge fund or credit fund manager5239406282
M&A advisory or investment bank523150, Investment Banking and Securities Intermediation6211

Two cross-references settle common arguments. The 551112 definition sends companies that hold shares and also operate the business to "the business operated," so an operating company doesn't become a holding company because a fund owns it. And the 523940 definition puts establishments with authority to make investment decisions in portfolio management, which is what a PE firm's investment team does.

SIC codes for private equity

There's no SIC code named for private equity. Forms usually want 6799, Investors, NEC (whose Census piece covers venture capital companies, investment clubs and speculators for their own account) or 6282, Investment Advice. From the Census concordance:

SIC 1987NAICS 2022 codes it maps to
6799 Investors, NEC523910, 523940, 523160 (commodity contract pools and traders)
6282 Investment Advice523940
6726 Unit Investment Trusts, Face-Amount Certificate Offices, and Closed-End Management Investment Offices525990
6719 Offices of Holding Companies, NEC551112

On EDGAR, the listed PE firms all use 6282. To convert other codes, use the NAICS to SIC converter.

How many firms there are

County Business Patterns (CBP) 2023, establishments with paid employees:

NAICS codeEstablishmentsEmployeesAnnual payroll
523940 Portfolio management and investment advice (2017 codes 523920 and 523930 combined)67,802530,305$137.3 billion
523910 Miscellaneous intermediation (including venture capital companies)12,89260,341$14.9 billion
551112 Offices of other holding companies6,58289,908$11.0 billion
525990 Other financial vehicles1,6527,819$1.3 billion

523940 pays about $259,000 per employee (our calculation). It's also much broader than private equity: it includes mutual fund, pension and hedge fund managers and financial planners, and CBP gives no split by type. Funds usually have no staff of their own (the people work at the management company), which helps explain why 525990 shows only 1,652 establishments. In 523910, 10,603 of 12,892 establishments (82.2%) have fewer than five employees.

CBP 2023 uses NAICS 2017, so 523940 here is the sum of 523920 and 523930, and CBP publishes no size split for the combined code.

SBA size standards

PE firms rarely need SBA size status themselves, but their portfolio companies do. From the Table of Size Standards, effective March 17, 2023 (13 CFR 121.201 on the eCFR shows no later change):

NAICS codeSize standard (average annual receipts)
523940 Portfolio management and investment advice$47.0 million
523910 Miscellaneous intermediation$47.0 million
551112 Offices of other holding companies$45.5 million
525990 Other financial vehicles$40.0 million

The bigger issue is affiliation. Under the SBA's rules (13 CFR 121.103), affiliation comes from control, and businesses under common control count together, so a fund-controlled portfolio company bidding as small may have to include its sister companies. Check this with counsel before a portfolio company certifies.

Where the code is used

  • Tax returns. Funds and management companies usually file partnership returns. The Form 1065 activity codes include 523900, Other financial investment activities (including portfolio management and investment advice), 525990, Other financial vehicles (including closed-end investment funds), and 551112, Offices of other holding companies.
  • Bank and vendor onboarding. Know-your-customer forms ask for a code per entity, so give the management company 523940 and the fund 525990.
  • Portfolio company contracts. The code on a federal contract is the portfolio company's own, measured with affiliates.

Finding private equity firms

The largest listed PE firms file on EDGAR under SIC 6282, Investment Advice:

CompanyHeadquarters (EDGAR)Total revenues, 2025 10-K
Apollo Global ManagementNew York, NY$32.05 billion (includes its Athene retirement services business)
KKRNew York, NY$19.46 billion (includes its Global Atlantic insurance business)
BlackstoneNew York, NY$14.45 billion
Carlyle GroupWashington, DC$4.78 billion
Ares ManagementLos Angeles, CA$4.76 billion
TPGFort Worth, TX$4.67 billion

These are a handful of the firms in 523940. For the rest, the SEC's Investment Adviser Public Disclosure site holds each registered and exempt reporting adviser's Form ADV, which lists the private funds it manages. The largest private equity firms page ranks the biggest. A Bebop search can describe the firms you want (lower middle market PE firms in the Midwest that own home services companies, say) and return the firms and partners with the reason each fits.

Worked example: coding a fund structure

Illustrative example. The firm and companies are invented.

Harborlight Capital (harborlight.example) manages Harborlight Fund II, LP, which owns Coastline Air Holdings, Inc., which in turn owns Coastline Air, an HVAC contractor.

  1. Harborlight Capital Management, LLC (the manager) is 523940 and SIC 6282. On its Form 1065 it uses 523900.
  2. Harborlight Fund II, LP (the fund) is 525990 and SIC 6726, and 525990 on its Form 1065.
  3. Coastline Air Holdings, Inc. only owns Coastline Air's shares, so it's 551112 and SIC 6719.
  4. Coastline Air keeps its own code, 238220, Plumbing, Heating, and Air-Conditioning Contractors. If it bids as a small business, the fund's other controlled companies may count as affiliates.

Questions people ask

What is the NAICS code for private equity?

A private equity firm, meaning the management company that runs the funds, is 523940, Portfolio Management and Investment Advice; the Census index lists private equity fund managing there. The fund itself fits 525990, Other Financial Vehicles, and a holding company that only owns portfolio company shares is 551112. Portfolio companies keep their own industry codes.

What is the SIC code for private equity?

SIC has no private equity code. Forms usually take 6799, Investors, NEC, which covers venture capital companies and investors for their own account, or 6282, Investment Advice. Closed-end fund vehicles map to SIC 6726 and pure holding companies to 6719. On SEC EDGAR, the large listed firms, including Blackstone, KKR, Apollo and Carlyle, all file under 6282.

What NAICS code does a private equity fund use?

The fund partnership fits 525990, Other Financial Vehicles, which covers funds other than insurance, employee benefit and open-end funds, including closed-end investment funds. The IRS Form 1065 activity list describes 525990 as including closed-end investment funds. The fund's manager uses 523940 instead, because it manages the fund's assets for fees.

What NAICS code is venture capital?

The Census Bureau lists venture capital companies under 523910, Miscellaneous Intermediation, for investors acting as principals for their own account. A venture firm that manages funds for outside investors, for fees, fits 523940, Portfolio Management and Investment Advice, like a private equity manager. The SIC equivalent for both is usually 6799, Investors, NEC.

Do portfolio companies use the private equity firm's NAICS code?

No. A portfolio company keeps the code for its own business, such as 238220 for an HVAC contractor or 621210 for a dental practice. The Census definition of 551112 sends companies that hold shares and also operate a business to the code of the business operated. Ownership affects SBA size through affiliation, not the industry code.
